The case for and against

Updated Oct 16, 2026

Bull case

Driven Brands Hldgs is supported by Take 5’s resilient momentum, with same-store sales up 3.6% and NOCR services near 30% of sales, while management believes it is taking share as the core consumer remains resilient. Its fragmented end markets are attractive, with exposure to a ~$350B automotive aftermarket space but only 2% share in maintenance and 5% to 6% share in other key categories, leaving substantial room for consolidation-led growth. Financially, leverage improved from 3.7x at FY'25 year-end to about 3.1x in 2Q'26, interest expense fell $10.4 million to $20.8 million, and management still targets 3.0x by year-end while generating $125MM-$145MM of FY'26 FCF for debt reduction.

Bear case

Driven Brands Hldgs is pressured by weak underlying demand, as management pointed to low-income consumer weakness and some tradedown/deferral across Take 5 and franchised brands, suggesting discretionary maintenance spending may remain soft. Its earnings power is further diluted by meaningful non-recurring costs, including $11.8M of restatement costs in 2Q, about $20.9M YTD, plus a $4M out-of-period charge at Auto Glass Now, with ~$35M-$45M expected through FY'26. Balance-sheet and governance risks also weigh on the outlook, given ~3.3x leverage at the end of 4Q'25, high-end peer debt levels, and Roark Capital’s ~61% ownership, which can create a persistent sponsor overhang.
