The case for and against

Updated Oct 14, 2026

Bull case

Pacira BioSciences is viewed favorably because the $36.50/sh all-cash Viatris acquisition delivers a ~45% premium and validates the intrinsic value of its commercial pain franchise and platform assets. Its core products, EXPAREL and ZILRETTA, generated about $587M and $121M in LTM revenue, while the ~340-person specialty commercial team and international rights add strategic breadth and margin support. The >$50M of identified annual cost synergies, combined with optionality from PCRX-201 and potential upside from a superior bid, strengthen the fundamental case and suggest the business is being acquired at a compelling valuation relative to its standalone ~$1.15B enterprise value.

Bear case

Pacira BioSciences is viewed negatively because the investment case is increasingly dominated by deal mechanics rather than durable operating fundamentals, with a failed tender, regulatory intervention, or material adverse change all risking a reversion toward pre-announcement levels. Its core commercial assets also face meaningful pressure: Exparel has been on the market for 14 years, faces ANDA and other analgesic competition, and could be hurt if the NOPAIN Act is not renewed at the end of 2027, while new growth initiatives such as nerve blocks may not gain traction. Although PCRX-201 offers diversification potential, it remains early and uncertain, and continued softness in consumer healthcare spending could further pressure elective procedure volumes and overall sentiment.
