The case for and against

Updated Oct 14, 2026

Bull case

Synaptics is viewed positively because the revised all-cash deal gives shareholders a certain $123-per-share outcome while preserving strategic value through an approximately $5.7 billion transaction that is about 4.4x NTM revenue, well below the roughly 9x multiple seen in Texas Instruments’ Silicon Labs deal. The company also delivered solid 4QF26 results, with revenue of $308.0 million, non-GAAP gross margin of 54.5%, non-GAAP operating margin of 19.6%, and non-GAAP EPS of $1.23, while Edge AI, Physical AI, and robotics design wins continued to build momentum. In addition, the onsemi combination should expand Synaptics’ reach through manufacturing scale, global sales channels, and expected $200 million of annual synergies, with immediate Non-GAAP EPS accretion and roughly 85% to 90% of synergies coming from OpEx.

Bear case

Synaptics is facing a more cautious outlook because its growth remains uneven: FY26 revenue rose 11.4% Y/Y to $1.197B, but Non-GAAP EPS increased only 27% Y/Y to $4.58 versus $5.61 consensus, suggesting earnings are not scaling as cleanly as sales. Core IoT is still the main driver, up 43% Y/Y to $389.7M and about 33% of sales, yet that strength is offset by Mobile declining 20.2% Y/Y to $39.1M and only modest 9.8% growth in Enterprise & Automotive to $164.3M in 4Q. The downgrade to Neutral from Buy reflects valuation discipline after the deal value fell to about $5.7 billion from about $7 billion, indicating reduced upside and a more constrained fundamental setup.
